what is the difference between Broadway and Off-Broadway shows?

Generally, the distinction is due to the size of the theatre. Theatres with up to 99 seats generally are considered Off-Off-Broadway; 99-499 seats generally denote Off-Broadway; and 500 and larger generally denote Broadway.
There are exceptions and sometimes it is reliant on the contract that the production has. Every Broadway theater (minus one) is also adjacent to Times Square.
